1. Acceptance of Terms

By accessing or using MIF Medical Center's electronic health record (EHR) platform and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

MIF Medical Center provides a cloud-based electronic health record platform designed for healthcare providers, including but not limited to:

• Medical charting and clinical documentation
• Optical examination and prescription management
• Psychology and mental health documentation
• Appointment scheduling and patient management
• Telehealth video consultation capabilities
• Billing and financial management tools
• AI-powered clinical assistance features

3. HIPAA Compliance

MIF Medical Center is committed to protecting the privacy and security of Protected Health Information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA). We will enter into a Business Associate Agreement (BAA) with covered entities as required by law.

You are responsible for ensuring that your use of the Services complies with all applicable healthcare regulations, including HIPAA, and for obtaining any necessary patient consents.

4. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Maintain and promptly update your account information
• Notify us immediately of any unauthorized use of your account
• Ensure that all users within your organization are properly trained on system use
• Implement appropriate access controls and user permissions
• Log out of the system when not in use (sessions automatically timeout after 30 minutes of inactivity)
• Report any security incidents or suspected breaches immediately

Our platform implements the following security controls:

• Automatic session timeout after 30 minutes of inactivity
• Rate limiting to prevent brute force attacks
• Account lockout after 5 failed login attempts (15-minute lockout period)
• Comprehensive audit logging of all system access and modifications
• Role-based access control with 14 distinct clinical roles

5. Subscription and Payment

Access to the Services requires a paid subscription. Subscription fees are based on the number of staff users and the modules selected. Patient records are unlimited and not counted for billing purposes.

Subscription fees are billed monthly in advance. You authorize us to charge your designated payment method for all fees incurred. Failure to pay may result in suspension or termination of your access to the Services.

6. Data Ownership and Portability

You retain all ownership rights to your data, including patient records and clinical documentation. MIF Medical Center does not claim any ownership interest in your data.

You may export your data at any time using our FHIR-compliant export tools. Upon termination of your subscription, you will have 30 days to export your data before it is permanently deleted.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Transmit any viruses, malware, or other harmful code
• Use the Services to store or transmit content that infringes on intellectual property rights
• Resell or sublicense the Services without our written consent

8. AI Features Disclaimer

Our AI-powered features, including clinical coding suggestions, documentation assistance, and diagnostic support, are intended to assist healthcare providers and should not replace professional medical judgment. All AI-generated suggestions should be reviewed and verified by qualified healthcare professionals before use.

MIF Medical Center is not responsible for any clinical decisions made based on AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVUS HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us during the twelve (12) months prior to the claim.

10. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may immediately suspend or terminate your access to the Services if you breach these Terms or fail to pay subscription fees.

Upon termination, your right to use the Services will immediately cease. Sections relating to data ownership, limitation of liability, and dispute resolution will survive termination.

11. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. We will provide at least 30 days' notice for material changes.
